COMPANY LAW ALERT

File return of deposits in Form DPT-3

For all the monies and loans accepted by a Company in a Financial Year disclosure must be made.

Deadline: 30th June 2026

TAKEAWAY

If Company has no outstanding balance of deposits or exempted deposits as on 31st March in FY, then it is exempted from the requirement of filing this from.

Ensure that the disclosures in DPT-3 match with the financial statements of the Company.

Are you a Company who gets their supplies of goods or services from MSME?

Do any of your payments to MSME's exceed forty-five (45) days?

If the answers to the above questions are affirmative, then file return of outstanding payments to MSME's

Board Meetings

With the start of yet another FY, we are here to give you a quick refresher on meetings of the Board:

Companies are required to have a minimum of four (4) meetings in FY. Gap between two meeting should not be more than 120 days, i.e, to say that there should be at least one (1) meeting each FY.
If Small companies, Dormant companies and OPC's have at least two (2) meetings in each half of a year, with a minimum gap of 90 days between two meetings, then are deemed to have complied.
Ensure you send notice of meeting at least 7 days prior to the registered address of each director(s).
Important things to note at first meeting of the Board-
- a. Notice of interest by Director in Form MBP-1
- b. Intimation from Director in Form DIR-8.
Check SHA/AOA for any specific requirement to conduct board meeting.

Companies can have any number of meetings in an FY, given the minimum requirements are met.
Ensure that the minute of the meeting is entered in the minutes book within 30 days of the date of the meeting.
